1. Agreement to Terms
By accessing or using Jumpwait ("the Platform", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.
These Terms constitute a legally binding agreement between you and Jumpwait B.V., a company registered in the Netherlands. By creating an account, joining a waitlist, placing a bid, or making any transaction on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Service
Jumpwait is a marketplace platform that enables businesses ("Brands", "Creators", or "Service Providers") to create waitlists for their products or services, and allows users ("Consumers" or "Members") to join, trade, and bid on waitlist positions.
2.1 Waitlist Types
- Drop Waitlists: All members receive access to exclusive content or products simultaneously when the waitlist "drops" at the specified date/time.
- Queue Waitlists: Members are served one-by-one in order. When you reach position #1, you will be called and must respond within the specified time frame.
- Hybrid Waitlists: Combine drop and queue features - members receive content/service when called in sequence.
- Waves Waitlists: Members are released in batches ("waves") at regular intervals.
- Slots Waitlists: Members book specific time slots for services (e.g., appointments, consultations). Each slot has its own mini-waitlist and pricing.
2.2 Time Value System
Jumpwait operates as a "Time Exchange" where waiting time has monetary value. The Platform calculates time value metrics based on supply, demand, and market activity. These metrics are informational only and do not constitute financial advice or guaranteed returns.
3. Platform Role & Liability Disclaimer
⚠️ Important Notice
Jumpwait is a marketplace platform only. We facilitate connections between Brands and Consumers but are NOT a party to any transaction between them.
3.1 No Responsibility for Products or Services
Jumpwait does NOT:
- Manufacture, sell, or provide any products or services listed on waitlists
- Guarantee the quality, safety, legality, or authenticity of any product or service
- Guarantee delivery, fulfillment, or availability of any product or service
- Provide warranties or guarantees on behalf of Brands
- Verify the accuracy or truthfulness of product/service descriptions
- Endorse or recommend any Brand, product, or service
For any questions, concerns, complaints, or issues regarding a product or service itself (including quality, delivery, warranty, defects, or refunds), you must contact the Brand directly.Jumpwait has no control over and accepts no liability for the actions, products, or services of Brands.
3.2 No Responsibility for Brand Content
Brands are solely responsible for the content they publish on the Platform, including but not limited to:
- Waitlist descriptions, titles, and promotional content
- Videos, images, and other media
- Pricing, availability, and delivery information
- Claims about products or services
Jumpwait does not pre-screen or approve Brand content and disclaims all liability for any false, misleading, defamatory, or illegal content posted by Brands.
4. User Accounts
4.1 Eligibility
- You must be at least 18 years old to create an account
- You must have legal capacity to enter into binding contracts
- You must not be prohibited from using the Platform under applicable laws
4.2 Account Responsibilities
- You are responsible for maintaining the confidentiality and security of your account credentials
- You must provide accurate, current, and complete information during registration
- You must promptly update your information if it changes
- One person or entity may not maintain multiple accounts without explicit permission
- You are solely responsible for all activity that occurs under your account
- You must immediately notify us of any unauthorized use of your account
4.3 Social Login
If you choose to register using a social media account (e.g., TikTok, Instagram, YouTube), you authorize us to access certain information from that account. Your use of social login is also subject to the terms and privacy policies of those third-party platforms.
5. Waitlist Participation Rules
5.1 General Rules for Consumers
- Each user may only hold one position per waitlist unless otherwise specified by the Brand
- Positions are non-transferable outside of the Jumpwait platform
- Selling, buying, or transferring positions on external platforms is strictly prohibited
- You may not use bots, scripts, or automated tools to join waitlists or gain unfair advantage
5.2 Queue Waitlist Rules
- When you reach position #1, you will receive a notification (email and/or push) to respond
- You must respond within the time frame specified by the Brand (varies per waitlist, typically 15-60 minutes)
- Failure to respond in time may result in being moved to the back of the queue, skipped, or removed from the waitlist (as configured by the Brand)
- If a service fee is required, you must complete payment within the response time frame
5.3 Slots Waitlist Rules
- Slots represent specific time periods for services (e.g., appointments, consultations, sessions)
- By booking a slot, you commit to attending at the scheduled time
- Cancellation policies are set by each Brand and displayed before booking
- No-shows may result in forfeiture of payment and/or account restrictions
- Payments for slots are held in escrow until service delivery is confirmed
5.4 Mandatory Purchase Obligation
By joining a waitlist and reaching position #1 (or your turn/slot), you are OBLIGATED to complete the purchase or accept the service at the stated price, unless:
- The Brand has explicitly cancelled the waitlist
- The product/service description has materially changed since you joined
- You have properly sold or transferred your position through the Platform before your turn
Failure to complete your purchase when called may result in: loss of any deposits paid, negative impact on your account standing, temporary or permanent suspension, and/or liability for damages caused to the Brand.
5.5 Rules for Brands
- Brands must honor waitlist positions for legitimate product/service access
- False, misleading, or deceptive waitlist information is prohibited
- Brands must comply with all applicable consumer protection laws and regulations
- Brands are responsible for fulfilling all obligations to Consumers who have properly completed their purchase
- Brands must maintain accurate availability and pricing information
- Brands may not artificially inflate demand or manipulate waitlist statistics
6. Payments, Deposits, and Trading
6.1 Payment Processing
All monetary transactions on the Platform are processed through Stripe, Inc., a third-party payment processor. By making or receiving payments, you agree to Stripe's terms of service.
6.2 Deposit (Paid) Waitlists
- Some waitlists require an upfront deposit to secure your position
- Deposits are credited toward the final product/service price when you reach your turn
- Deposits are generally non-refundable unless the waitlist is cancelled by the Brand
- The deposit amount and final price are clearly displayed before joining
- By paying a deposit, you confirm your commitment to complete the purchase
6.3 Position Trading
- Users may list their waitlist positions for sale to other users
- Bids are binding commitments to purchase at the stated price
- Sellers may accept or reject bids at their discretion
- Once a bid is accepted and payment is completed, the trade is final
- Positions are automatically transferred upon successful payment
6.4 Fee Structure
Position Trades:
- 85% to the Seller (position holder)
- 10% to the Creator (Brand/waitlist owner)
- 5% to Jumpwait (platform fee)
All Other Transactions (deposits, slot bookings, queue fees):
- 95% to the Creator (Brand/service provider)
- 5% to Jumpwait (platform fee)
6.5 Escrow for Services (Slots)
For Slots waitlists involving services:
- Payment is held in escrow until the service is delivered and confirmed
- The Brand must mark the service as "delivered" to release funds
- Consumers have a limited window to dispute delivery (as specified per waitlist)
- Funds are automatically released if no dispute is raised within the dispute window
6.6 Payouts
- Brands must connect a Stripe account to receive payouts
- Payouts are processed according to Stripe's payout schedule (typically 2-7 business days)
- Jumpwait is not responsible for delays caused by Stripe, banks, or other financial institutions
- Minimum payout thresholds may apply
7. Unclaimed Brand Profiles
Jumpwait may create placeholder profiles for public figures, businesses, or creators based on publicly available information. These "unclaimed profiles" are marked accordingly and do not represent an official relationship with Jumpwait.
- Unclaimed profiles display a notice indicating they are not yet verified or managed by the actual owner
- The actual owner can claim their profile by verifying their identity through social platform authentication
- Until claimed, any waitlists on unclaimed profiles are for demonstration purposes only
- Jumpwait does not guarantee the accuracy of information on unclaimed profiles
- If you believe an unclaimed profile misrepresents you or your brand, contact us for removal
8. Prohibited Activities
You agree NOT to:
- Use bots, scripts, scrapers, or automated tools to interact with the Platform
- Create multiple accounts to circumvent waitlist limits or manipulate markets
- Manipulate pricing through fake accounts, shill bidding, or fraudulent transactions
- Harass, threaten, or abuse other users, Brands, or Jumpwait staff
- Attempt to circumvent, avoid, or reduce platform fees
- Use the Platform for money laundering, fraud, or other illegal activities
- Resell positions obtained through fraudulent means
- Post false, misleading, defamatory, or illegal content
- Infringe on intellectual property rights of others
- Interfere with the proper functioning of the Platform
- Reverse engineer, decompile, or attempt to extract source code from the Platform
- Access the Platform through unauthorized means or from sanctioned jurisdictions
- Sell or transfer your account to another person
9. Refunds, Cancellations, and Disputes
9.1 Position Trades
Position trades are final once completed. No refunds will be issued for completed position trades. By accepting a bid or completing a purchase, both parties acknowledge the irreversible nature of the transaction.
9.2 Waitlist Cancellations by Brand
- If a Brand cancels a waitlist, all members will be notified
- Deposits paid for cancelled waitlists will be refunded in full
- Refunds are processed within 5-10 business days
- Jumpwait is not liable for any consequential damages from waitlist cancellations
9.3 Disputes
- Disputes between Consumers and Brands should first be resolved directly between the parties
- If direct resolution fails, either party may request Jumpwait mediation
- Jumpwait may, at its sole discretion, investigate and provide non-binding recommendations
- Jumpwait's decision in mediation is final but does not preclude legal action
- Jumpwait is not liable for the outcome of any dispute between users
10. Intellectual Property
10.1 Platform IP
The Jumpwait platform, including its name, logo, design, features, algorithms, and content created by Jumpwait, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
10.2 User Content
Users and Brands retain ownership of content they create and upload. However, by posting content on the Platform, you grant Jumpwait a worldwide, non-exclusive, royalty-free license to:
- Display, distribute, and promote your content on and through the Platform
- Use your content for marketing and promotional purposes
- Sublicense these rights to third parties as necessary for Platform operation
11. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and protect your personal data. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.
12. Disclaimer of Warranties and Limitation of Liability
12.1 "As Is" Basis
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 No Guarantee
We do not guarantee that:
- The Platform will be uninterrupted, secure, or error-free
- Any specific results will be achieved through use of the Platform
- The accuracy, reliability, or completeness of any information provided
- Defects will be corrected or that the Platform is free of viruses
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUMPWAIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Platform
- Any conduct or content of any third party on the Platform
- Any content obtained from the Platform
- Unauthorized access, use, or alteration of your transmissions or content
- Products or services provided by Brands
- Disputes between users
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.
13. Indemnification
You agree to indemnify, defend, and hold harmless Jumpwait, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your content posted on the Platform
- Any dispute between you and another user or Brand
14. Termination
14.1 By User
You may terminate your account at any time through the account settings or by contacting us. Upon termination, any pending trades, deposits, or obligations will be handled according to these Terms.
14.2 By Jumpwait
We may suspend or terminate your account at any time, with or without notice, for:
- Violations of these Terms
- Suspected fraudulent, abusive, or illegal activity
- Prolonged inactivity
- At our sole discretion for any other reason
14.3 Effect of Termination
Upon termination: (a) your right to use the Platform immediately ceases; (b) we may delete your account and data; (c) any pending payouts will be processed if legitimate, or forfeited if related to Terms violations; (d) provisions that by their nature should survive will survive termination.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email and/or prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands. However, if you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence.
17. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Jumpwait regarding the Platform.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign your rights or obligations under these Terms. We may assign our rights to any affiliate or successor.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
- Language: These Terms are provided in English. In case of any conflict between translations, the English version prevails.
